Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Sharper Seller ("Service"), a product of Landa Ventures LLC, a Wyoming limited liability company ("Company," "we," "our," or "us"). By using our Service, you agree to be bound by these Terms.

2. Service Description

Sharper Seller analyzes Amazon seller accounts to identify fulfillment and referral fees that can be legitimately reduced under Amazon's current policies. When we find opportunities, we implement the necessary listing and configuration changes through Amazon's official Selling Partner APIs.

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have a valid Amazon Seller Central account in good standing
• Have authority to authorize third-party API access to your Amazon account
• Meet our minimum volume requirements

4. Term

The initial service term is six (6) months from the date of service activation. After the initial term, the agreement will automatically renew for successive one-month periods unless either party provides written notice of termination at least thirty (30) days prior to the end of the current term.

5. Payment Terms

Our Service uses performance-based pricing. You only pay when we generate savings. Specific fee percentages and payment terms are outlined in your individual services agreement.

Performance guarantee: If we do not generate measurable savings for your account, you do not pay.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. This includes, but is not limited to:

• Our optimization methods and strategies
• Your business data and account information
• The terms of our agreement

A mutual Non-Disclosure Agreement (NDA) is executed as part of the onboarding process.

7. API Access

To provide our Service, you must authorize read and write access to your Amazon account through Amazon's official Selling Partner API. You may revoke this access at any time through your Amazon Seller Central account.

We will only make changes to your account that are designed to reduce your fees. All API calls are logged and available for your review.

8. Termination

Either party may terminate this agreement:

• At the end of the initial term or any renewal period with 30 days notice
• Immediately if the other party materially breaches these Terms
• Immediately if required by law or Amazon's policies

Upon termination, we will cease all optimization activities and you will be responsible for any fees accrued up to the termination date.

9. Limitation of Liability

To the maximum extent permitted by law, Landa Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any changes to Amazon's policies or fee structure
• Any unauthorized access to or use of our servers
• Any bugs, viruses, or other harmful code transmitted through the Service

Our total liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee any specific level of savings or results. Actual savings depend on your specific account, catalog, and Amazon's policies at any given time.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wyoming.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.
